The Annual General Meeting (or AGM) is the senior body of the charity. It comprises all the members and meets once per year, or more often if required. The main functions of the General Meeting are set down in the Companies Acts and include:
- Electing the Board of Trustees, who are in charge of the day to day activities of the charity
- Establishing the rules - the Memorandum and Articles of Association and any Special Resolutions - including setting out which decisions are to be made by the General Meeting and which by the Board
- Approving the annual accounts
The powers of the AGM are set out in the chapter's constitution, in particular clauses 5-13 of the Articles. AGMs must be held within 15 months of the previous AGM.
