Wikimedia UK's [[Vision, values and mission|mission]] is to help people and organisations create and preserve open knowledge, and to help provide easy access for all.  As an independent UK charity which acts as the UK arm of the global Wikimedia movement, encompassing Wikipedia and its sister projects, we are in a special position to make an impact on open knowledge across both the educational and cultural sectors.

Wikimedia UK is one of Britain's newest and most innovative charities. We exist to support and promote open knowledge, with a strong focus on Wikipedia and its sister projects. We go about this by working with the volunteers who edit the Wikimedia projects, and with institutions across the UK, to increase understanding of Wikipedia, strengthen the editing community, and increase the amount and quality of free knowledge. We are remarkably community- and volunteer-driven.


We have recently taken part in a Governance Review conducted by Compass Partnership, which made a number of recommendations about how to improve our governance practices. You can find the review [[:File:Wikimedia UK gov review rpt v5.pdf|here]].
Wikimedia UK's 10-person volunteer board provides strategic guidance, direction and oversight for the charity as a whole while recognising and respecting the domain of staff and volunteer responsibility. In particular, it:
* sets and maintains our direction, vision, mission and values, and helps develop [[Strategic goals|strategy]] for effective charitable impact
* sets and maintains the policies, practices, budgets and other processes necessary to deliver those aims
* selects and supports the CEO who has oversight of operations, staff and employment procedures
* maintains fiscal oversight and accountability, including risk management and ensuring that the charity operates in a prudent and solvent manner
* ensures that the law and our [[Articles|Articles of Association]] are complied with
* maintains its own effectiveness while promoting and championing the charity.


==What we need in a Trustee==

We need Trustees to join the Board who are committed to our [[Vision|vision, mission and values]], and who have skills and perspectives that will strengthen the Board. There is a set of [[Board/Characteristics|characteristics]] that we would like to see on our Board, and we are particularly interested in Board members who help the Board as a whole have more of those characteristics. In particular the Board currently contains no women, and we cannot allow this situation to continue any longer.


Many Board members have volunteered their time editing Wikipedia, but this is certainly not required, and we aim to have a strong and balanced Board including people with different backgrounds and skills.  
Successful candidates for the board could come from a wide range of backgrounds including the public, educational, charity or commercial sectors, or from the open knowledge or Wikimedia movements. We seek diversity of gender, age, location and outlook, but all candidates should be able to demonstrate a track record of effective performance, strategic thinking and sound judgement.


It is also worth noting that being a Trustee is unlikely to be compatible with being a staff member of Wikimedia UK or elsewhere in the Wikimedia movement. If you are in doubt about this please see our [[Conflict of Interest Policy]].

==Time commitment==
Some trustees are active volunteers within the Wikimedia or the wider open knowledge movements, but active volunteering activity outside the trustee role is by no means essential. There are many ways in which personal skills, interests and experience can contribute to our open knowledge mission.
There are four in-person Board meetings a year, normally held at weekends, as well as the annual AGM. We aim to hold half the meetings at our London office and half in other parts of the UK. There are also a number of Board phone calls in between meetings. Board members may also serve on one or more committees, but this is entirely voluntary.

Wikimedia UK is fortunate in having a board that is active and engaged.  While the board is largely strategic, and does not normally get involved in the running of specific charitable projects, it is active in establishing direction and strategy as well as in helping to ensure the charity stretches itself and reaches its full potential. We expect trustees to commit not only to regular attendance at quarterly board meetings and our [[General Meetings|AGM]], but also to make themselves reasonably available for ad hoc discussion and consultation - generally by email -  at other times. Some trustees also serve on one or more [[Committees#Board committees|board committees]], but that is entirely voluntary.
 
Trustees are directors of the charity and have a number of legal and practical duties, details of which can be [[Board#Duties|see here]]. The probity of our trustees is of the utmost importance to us, and we have a comprehensive [[Conflict of Interest Policy]].

Trustees are appointed either by election or co-option. At present, seven Trustees are elected by the membership for two-year terms and casual vacancies are filled by co-option. The Governance Review's recommendation is that we change to having six Trustees elected and three co-opted by the Board. All Trustees need to be members of the Charity, and you are encouraged to [[Membership|join right away]] - it is only £5.


For Trustees seeking election, there will be a hustings at the AGM with brief speeches. Candidates are also asked to supply election statements and there is also likely to be an online question & answer page on this site.
Trustees are appointed either by election or co-option for two year terms, and we expect during 2015 to be able to welcome at least three new board members.  At our [[2015 Annual General Meeting|2015 AGM]] to be held in London on Saturday 25th July, four existing trustees will be retiring by rotation of whom three have indicated their intention to stand for a further term.

Wikimedia UK: the open knowledge charity

Wikimedia UK's mission is to help people and organisations create and preserve open knowledge, and to help provide easy access for all.  As an independent UK charity which acts as the UK arm of the global Wikimedia movement, encompassing Wikipedia and its sister projects, we are in a special position to make an impact on open knowledge across both the educational and cultural sectors.

The role of the Wikimedia UK board
